The team is now seeking an experienced legal professional to join their Executive leadership.


 

The Opportunity:

Reporting to the Chief Executive Officer, the Chief Compliance Officer (CCO) will be accountable for providing executive leadership over compliance and legal functions, ensuring the development and knowledge sharing with the respective teams. The CCO will also be responsible for the implementation and monitoring of all aspects of the bank’s compliance management program by providing a strategic direction and focus for an effective management of its compliance framework ensuring the business complies with all regulatory and legal requirements. The CCO will also be responsible for carrying out all Company Secretary duties, including organizing all legal documentation with respect to the Bank’s registration, shareholder structure, statutes and any other relevant matter related to its legal obligations.
 

 

Responsibilities:

  • Build a legal framework that ensures compliance with all regulations applicable to banking activities and drive a zero tolerance policy to non-compliance matters
  • Assess bank’s compliance culture and design training programs consistent with local laws and regulations, to address gaps
  • Ensure the implementation of a regulatory universe and a gap analysis of core regulations thereafter, following up on non-compliance gaps until these are fully remediated
  • Assess awareness and understanding of the business of all regulations, policies and procedures and provide intervening measures to address identified gaps in a timely and expedient manner
  • Ensure compliance with AML/CFT regulatory requirements through the embedment of an AML framework and adherence to AML/CFT policies
  • Ensure updates regarding regulations and compliance procedures are provided to the business units and the executive team on a regular basis, including briefings and training on new regulations key requirements
  • In coordination with the risk department management and internal audit, contribute to establish an enterprise-wide risk management framework, consistent with requirements of COSO II
  • Develop, implement, test, enforce and update compliance policies, procedures and standards in line with international best practice and local regulations
  • Work with the executive management team to develop an effective compliance and training program, including introductory training for new employees as well as ongoing training for the whole staff
  • Develop an overall strategic plan to ensure compliance across functional areas and appropriate reporting to cross functional areas and executive management, including establishing proper procedures and controls
  • Represent and participate in the senior level meetings, Executive Board Committees and Compliance Executive Committees
  • Provide subject matter compliance expertise input on business initiatives, projects, amongst others required
  • Ensure the Compliance Department’s various programs, policies and procedures are current and complete and in line with regulatory and industry trends
  • Maintain a current knowledge of marketplace compliance and compliance best practices and recommend changes to existing bank policy as necessary
  • Develop close and strategic relationships with law enforcement and regulators, being aware of authorities’ focus areas, anticipating and proactively addressing potential concerns
  • Facilitate the Regulatory Change process in the business and proactively follow up changes
  • Deliver the compliance coverage plan as agreed with the Board Risk Chairperson in line with the Annual Compliance Plan
  • Ensure availability and of fit-for-purpose systems and tools for management of AML/CFT, Compliance and Conduct Risk on an on-going basis
  • Keep the local management team and Group Head Compliance and other Executives informed on Compliance matters which may pose financial, AML/CFT or reputational risks for the business
  • Carry out the Company Secretary duties in line the provisions of the Commercial Code, including but not limited to secretary the meetings and providing support to governing bodies, namely the General Meeting, Fiscal Council and Executive Management, in the exercise of their respective duties, ensuring compliance with applicable legislation, the Articles of Association and internal regulations
  • Set challenging and stretching objectives and ensure effective performance management, development and succession planning
  • Act as a role model and drive proactive application of First Capital Bank Guiding Principles throughout the team including establishment of common goals and objectives
     

Criteria

  • Degree in Business Administration, Management, Finance, Audit or any other relevant related field
  • At least 10 years of experience in compliance, legal, risk or related functions in the banking sector with increasing responsibility working for a regulatory agency examining banks, within audit, compliance or legal departments, as a management consultant in the field of banking compliance or other equivalent non-banking position providing advice and/or guidance on banking regulations
  • Experience in the role of company secretary and handling of a banking institution statutory matters
  • Regulatory experience gained in commercial banking environment
  • Good understanding of current and anticipated requirements in the banking and AML/CFT field and the respective supervisory expectations
  • Good understanding of global standards of best practice and shared objectives in the role of the financial system in tackling money laundering, terrorist financing, proceeds of crime and other financial crime
  • Strong ability to interact effectively with bank regulator and work independently to manage regulatory matters;
  • Comprehensive understanding of bank products, services, operations and systems
  • Ability to analyze risks and recommend controls to mitigate regulatory and legal risks
  • Ability to interact actively and effectively with the Bank’s senior management and their lines of business
  • Strong Communication Skills
  • Strong analytical & critical thinking skills and an ability to demonstrate sound risk and business judgment
  • Strong analytical skills and consolidated experience analyzing a wide range of regulatory and compliance requirements across the banking business functions
  • Excellent written and oral communication skills, both in Portuguese and English

  • Excellent interpersonal skills and the ability to manage staff
  • Highly organized and an attention to details
